Shoreline Partners Negotiates Purchase of Electrical Sales, Inc. by Winsupply, Inc.

One of the largest distributors in the nation purchased distributor of electrical materials serving Southern California

SAN DIEGO – Shoreline Partners, the region’s longest-serving investment banking and M&A advisory firm servicing companies between $5 million and $200 million in revenue, announced today the successful sale of its client, Vista-based Electrical Sales, Inc., to Winsupply, Inc.

Electrical Sales was founded in 1984 as a wholesale distributor of electrical equipment and supplies. From its headquarters in North San Diego County, Electrical Sales serves San Diego and Inland Empire customers including commercial, residential and industrial contractors, OEM, MRO, and government/municipal and military entities.

The acquirer, Winsupply, one of the largest distributors in the nation, purchased Electrical Sales to launch its first West Coast electrical distribution and take advantage of significant growth opportunities in the region.

"Electrical Sales has established itself as a premier distributor of electrical materials to Southern California," said Roland Gordon, president and CEO of Winsupply. "They have an outstanding team of experts with a strong customer-centric culture that fits our organization so well. Electrical Sales serves a diversified customer base that includes industrial, OEM, large commercial, small commercial and residential. They have a strong reputation for expertise in all areas of electrical materials, including lighting.

Winsupply Inc. is a leading supplier of residential and commercial construction and industrial supplies and equipment headquartered in Dayton, Ohio. The privately-held company has 580 wholesaling locations in 45 states and offers entrepreneurs the unique opportunity to own a meaningful part of the local business. Collectively, Winsupply is known as "The Winsupply Family of Companies" and includes Win-branded locations, Noland Company, Carr Supply, Security Plumbing & Heating Supply, Wyatt Irrigation and Electrical Sales, Inc. In the family are companies conducting business-to-business wholesale distribution of supplies and equipment in plumbing and heating; hydronics; pipe, valves and fittings; HVAC and refrigeration; electrical; fastening hardware; waterworks and utility; pumps; turf irrigation and landscape; and fire system fabrication.

“I couldn’t have completed the acquisition without Shoreline Partner Tim Malott,” said Don Hartley, founder of Electrical Sales, Inc. “He calmly coordinated all of the buyer’s comprehensive due diligence, worked closely with attorneys on both sides and got the deal done. When we felt the timing was right, Tim even met with my management team to help explain the transition while offering opportunities for them to ask any questions. Other investment bankers typically wash their hands of the details once an agreement on the transaction terms is in place, leaving everything else up to the attorneys. Not Tim. He was heavily involved in getting schedules completed, documents signed and navigating all of the hurdles that came up. Tim did a lot more than just negotiate the deal for me; he became a true trusted advisor.”
