Borrego Springs Bank
Sold Majority Ownership Interest to
Viejas Band of Kumeyaay Indians
Shoreline Client: Borrego Springs Bank
Transaction: Sold Majority Ownership Interest to the Viejas Band of Kumeyaay Indians
Borrego Springs Bank was a Southern California independent financial institution under regulatory pressure to increase its capital. The Bank had been unsuccessful in raising capital through traditional investor sources. Shoreline Partners was engaged by the bank's Board of Directors to seek capital from other sources. Shoreline identified the Viejas Band of Kumeyaay Indians, a very successful Indian gaming tribe, as a potential strategic partner and investor. Shoreline presented the unusual opportunity to Viejas' advisors and Tribal Council and ultimately negotiated a transaction for Viejas to acquire majority control of the Bank. The transaction represented a true strategic alliance as the Bank gained capital and a new opportunity in an under-banked market segment while Viejas gained access to the financial services industry and diversified its investments. Shoreline worked closely with attorneys for both the Bank and Viejas in filing and obtaining regulatory approval for the transaction. Shoreline also assisted Viejas in selecting individuals to represent it on the Bank's Board of Directors.
